Authorized Signatory Count Rule

Count distinct present identifiers appearing in an explicit authorized list and compare with a supplied required count without validating signatures.

Description

Count distinct supplied present IDs found in an authorized list.

Administrative records depend on policy dates, authorization scope, attendance denominators and accounting definitions. A calendar-date shift does not skip holidays, a quorum fraction is not a quorum decision, and a weighted voting fraction differs from economic ownership. Recorded signatory presence does not authenticate a signature or establish authority.

Count distinct supplied present IDs found in an authorized list.

When to use this tool

Use Authorized Signatory Count Rule when you already have presentSignatoryIds, authorizedSignatoryIds, requiredDistinctCount and need to count distinct supplied present IDs found in an authorized list.

How to use the tool and how it works

  1. Enter presentSignatoryIds, authorizedSignatoryIds, requiredDistinctCount. Follow any array-alignment requirements below. Use the units and conventions below.
  2. Run the tool. Correct any format, range, or cross-field input error before interpreting the output.
  3. Read distinctAuthorizedCount, meetsCount. Inspect meetsCount before interpreting the associated values.

Require a nonnegative safe required count; filter exact present-ID membership, deduplicate, return count and count>=required.1

Input fieldMeaning and unitsAccepted input
presentSignatoryIdsPresent Signatory IdsRequired. Array of text; maximum UTF-16 length 8192; maximum items 256.
authorizedSignatoryIdsAuthorized Signatory IdsRequired. Array of text; maximum UTF-16 length 8192; maximum items 256.
requiredDistinctCountRequired Distinct CountRequired. Safe integer; minimum 0.
Output fieldInterpretationReturned shape
distinctAuthorizedCountNumber of distinct present literal IDs found in the supplied authorization list; not verified signatures or authority.Required. Safe integer.
meetsCountMeets CountRequired. Boolean.

Limitations and assumptions

  • Empty IDs are accepted and required zero passes an empty set. No signature, identity, actual authorization, role, scope or legally valid execution is verified.
  • Inputs must satisfy both the field types and the cross-field conditions above. Invalid input causes an error; a successful false flag or documented placeholder is a different result.
  • Numeric calculations use binary floating point unless exact decimal-integer arithmetic is explicitly stated. No hidden measurement tolerance or decimal rounding is added; nonfinite or out-of-contract results are rejected. Numeric signed-zero results are exported as zero.

Alternative or Complementary methods

Check controlled policies, meeting records, contracts and account definitions. Apply the complete applicable rules when actual approval, payment or governance matters; local version selection and arithmetic do not make those determinations.
